cancellation and postponement charges

in the event of client cancellation or postponement of work
a variable charge will be payable dependent on the notice given:

please note that no charge will be made if the facility can be resold for the same dates for a similar fee.

invoices are payable within 14 days and subject to vat (this includes overseas clients). amounts outstanding beyond this period are subject to an additional charge of 2% per month, or part thereof. due to hm customs and excise regulations, vat is chargeable regardless of the client's origin.

the company cannot accept responsibility for delays caused by weather, transport difficulties or other circumstances beyond its control.

the company will use its best endeavours to meet such timings as may be agreed in writing but cannot be held responsible for any problems or costs consequent upon any delay that may occur. in the event of any dispute arising as a result of a booking, the maximum liability awarded by kadence (uk) ltd shall be equal to and no more than the value of the hire fee for the booking.

retention of title

title to any work undertaken by us remains with kadence (uk) ltd until payment is made to us. any payment made to our client following the re-sale or use of our work is deemed to be held on trust for us until payment is made to us. any payment from a third party to our client concerning any aspect of the project, or any other project our client has undertaken for any third party will be considered a relevant payment. any reasonable costs, legal or otherwise, directly associated with attempts to gain payment of invoices overdue for payment may result in these costs being recovered from the client concerned.

insurance

clients are responsible for implementing such insurance as they judge is necessary for their projects, artwork, questionnaires or any other material in our possession or in transit. consequential loss is not the responsibility of kadence (uk) ltd. where products are consumed by the public, used on the skin or in any other such way, the client is fully responsible for any such claims that may be forthcoming.

kadence (uk) ltd takes no responsibility for any accidents or damage to either people or property whilst on the premises of carlton house, other than those directly attributable to kadence (uk) ltd employee negligence.

the company shall in no circumstances be liable for any failure or defective working of audio or visual equipment or for any subsequent loss or cost incurred.

code of conduct, confidentiality and intellectual property

kadence (uk) ltd ('the company' including all servants and agents thereof) shall conduct all work in accordance with the provisions and guidelines of the market research society code of conduct, and the use by the client company ('the client' including all servants and agents thereof) of all findings, materials etc., appertaining to the research shall also be in accordance with the above mentioned code of conduct.

kadence (uk) ltd has both bs 7911 and iso 9001 accreditation, copies of which are available upon request.

acceptance of these terms and conditions

commissioning of a project indicates acceptance of these terms and conditions. any variation to these terms and conditions must be in writing and signed by the managing director of kadence (uk) ltd.

where recruitment and/or moderating services are provided by kadence (uk) ltd, normal terms and conditions apply (copy on request).

these terms and conditions are governed in all respects by english law and are subject
to the jurisdiction of the english courts.
